OVERVIEW

Welcome to ThePromptPal (“we”, “us”, “our”). We operate this website and online store (the “Services”) to offer curated digital prompt products and related content. The Services are powered by Shopify.

These Terms of Service (“Terms”) together with our Privacy Policy and Refund Policy govern your use of the Services. By visiting, interacting with, or purchasing from the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Digital Products, Licence & AI Output

1) Nature of supply. Our products are digital prompt templates for use with AI tools (e.g., ChatGPT).

2) Delivery & cancellation (digital downloads). Digital products are supplied immediately after purchase. By completing checkout you request immediate supply and acknowledge that the 14-day cancellation right does not apply once download/streaming begins. This does not affect your statutory rights or our goodwill guarantees stated on the product page.

3) Licence. We grant you a non-exclusive, non-transferable licence to use and modify the prompts and outputs in your own business or client work. You may not resell, publish, share, or redistribute the raw prompts or source files.

4) AI output & your responsibilities. AI-generated content can be inaccurate, incomplete, or non-compliant. You must review, fact-check, and edit all outputs and are solely responsible for how you use them, including compliance with laws, platform rules, and industry standards.

5) No professional advice. Prompts and outputs do not constitute legal, financial, medical, or other professional advice.

6) Results & warranties. We do not guarantee any particular results or outcomes. Products are provided “as is” without warranties, to the maximum extent permitted by law.

7) Faulty digital content. If a file is faulty (e.g., corrupt or inaccessible), contact us and we will repair/replace the file or provide a refund where appropriate in line with applicable consumer law.

8) Third-party tools & trademarks. We are not affiliated with OpenAI. “ChatGPT” is a trademark of OpenAI. Third-party tools are subject to their own terms.

SECTION 1 – ACCESS AND ACCOUNT

You represent that you are at least the age of majority in your jurisdiction. You may be asked to provide information (e.g., email, billing and payment details). You warrant such information is accurate and that you have rights to provide it. You’re responsible for maintaining the security of your account credentials and all activity under your account.

SECTION 2 – OUR PRODUCTS

We strive to describe products accurately but occasional variances may occur (e.g., on-screen appearance). Descriptions and pricing may change without notice. We may discontinue products or limit quantities at our discretion.

SECTION 3 – ORDERS

Your order is an offer to purchase. We may accept or decline your order at our discretion. Payment must be processed before acceptance. If we do not accept or cancel an order we’ll attempt to notify you using the contact details provided. Purchases are subject to our Refund Policy. You represent that your purchases are for your own use (including client work under the licence above) and not for commercial resale of the product files.

SECTION 4 – PRICES, TAXES & BILLING

Prices, discounts and promotions may change without notice. The price charged is the price at the time of order. Unless otherwise stated, prices exclude taxes and fees that may apply in your jurisdiction. You agree to provide current, complete and accurate purchase and payment information and authorise us (and our payment processors) to charge your payment method for all amounts due.

SECTION 5 – DELIVERY OF DIGITAL PRODUCTS

Digital products are delivered electronically (e.g., download links, email delivery, or account access). Estimated delivery times are not guaranteed. If you experience access issues, contact us.

Note: If you later sell physical goods, you can re-add a shipping clause; for now this section is digital-only.

SECTION 6 – INTELLECTUAL PROPERTY

The Services and all content (including text, graphics, designs, and trademarks) are owned by ThePromptPal or its licensors and protected by intellectual property laws. Except as expressly permitted by the licence above, you must not copy, distribute, modify, create derivative works, publicly display, or exploit the Services or content without our prior written consent. All rights not expressly granted are reserved.

SECTION 7 – OPTIONAL TOOLS

We may provide access to third-party tools on an “as is” and “as available” basis without warranties. Use is at your own risk and subject to the third party’s terms.

SECTION 8 – THIRD-PARTY LINKS

Third-party websites and materials are not under our control. We are not responsible for their content, products, or services. Access them at your own risk after reviewing their terms and policies.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

ThePromptPal is powered by Shopify, which enables us to provide the Services. Sales and purchases are made directly with ThePromptPal, not Shopify. By using the Services, you acknowledge Shopify is not responsible for sales between you and us and you release Shopify from claims arising from such transactions.

SECTION 10 – PRIVACY

Personal data is handled in accordance with our Privacy Policy and Shopify’s privacy terms. Because our Services are hosted by Shopify, information you submit may be processed by Shopify and service providers in other countries to operate and improve the Services. SECTION 11 – FEEDBACK

If you submit ideas, suggestions or reviews (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use and display such Feedback for any purpose. You warrant you own or control the rights to your Feedback and that it complies with these Terms.

SECTION 12 – ERRORS, INACCURACIES & OMISSIONS

We may correct any errors or update information at any time without prior notice, including after you submit an order.

SECTION 13 – PROHIBITED USES

You may use the Services for lawful purposes only. You agree not to misuse the Services, including by infringing IP rights, sending spam or malware, scraping, circumventing security, or engaging in conduct that harms the Services or others. We may suspend or terminate accounts for violations.

SECTION 14 – TERMINATION

We may terminate or suspend your access to the Services at any time. Sections that by their nature should survive termination will survive (including Intellectual Property, Licence, Disclaimers, Limitation of Liability, Indemnification, Governing Law).

SECTION 15 – DISCLAIMER OF WARRANTIES

Except as expressly stated, the Services and all products are provided “as is” and “as available” without warranties of any kind, whether express or implied (including merchantability, fitness for a particular purpose, and non-infringement). We do not warrant uninterrupted, timely, secure, or error-free access.

SECTION 16 – LIMITATION OF LIABILITY

To the fullest extent permitted by law, in no event will ThePromptPal or its affiliates, directors, officers, employees, agents, contractors, service providers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or related to the Services or products, even if advised of the possibility of such damages. Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

SECTION 17 – INDEMNIFICATION

You agree to indemnify and hold harmless ThePromptPal and its affiliates, officers, directors, employees, and agents from claims and expenses arising from your breach of these Terms or misuse of the Services.

SECTION 18 – SEVERABILITY

If any provision is held unlawful or unenforceable, the remaining provisions remain in full force.

SECTION 19 – WAIVER; ENTIRE AGREEMENT

Our failure to enforce any provision is not a waiver. These Terms, together with policies referenced herein, are the entire agreement between you and us concerning the Services.

SECTION 20 – ASSIGNMENT

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer our rights and obligations without notice.

SECTION 21 – GOVERNING LAW & JURISDICTION

These Terms and any disputes or claims (including non-contractual disputes) are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

SECTION 22 – HEADINGS

Headings are for convenience only and do not affect interpretation.

SECTION 23 – CHANGES TO THESE TERMS

We may update these Terms from time to time. We’ll post the new effective date above. Your continued use of the Services after changes take effect constitutes acceptance.
